1. Acceptance of Terms

Please carefully review and understand these Terms of Services (“Terms”) before accessing or using any of the services, content and information distributed or made available on https://rtfadvisors.com.my or through RTF Mobile App and RTF Web App and any other related services (Collectively, the “Services”) operated by RT & Co (NF2800), a firm registered with the Malaysian Institute of Accountants (“RT”, “Us”, “We”, or “Our”).

Your access or use of Our Services is subject to your acceptance of these Terms. By accessing or using Our Services, you acknowledge that you have read, understood and agree to comply with and be bound by these Terms. If you disagree with any part of these Terms, please do not access or use Our Services.

2. License and Use

You are expressly prohibited from engaging in any form of commercial use, including resale, distribution, public display or performance, or any other commercial exploitation of Our Services.

The RTF Mobile App and RTF Web App are exclusively provided for your internal business purposes related to the professional services offered by RT. Any use beyond this intended purpose is strictly forbidden and constitutes a breach of these Terms, which may result in immediate termination of your account.

You acknowledge and agree that the RTF Mobile App and RTF Web App are licensed, not sold, to you for use strictly in accordance with these Terms. You agree not to use, nor permit any third party to use, RTF Mobile App and RTF Web App, in any manner whatsoever that violates any applicable law, regulations, or these Terms.

Under these Terms, you shall not:

•Provide or transfer the rights to access or use Our Services, in whole or in part, to any third party;

•Reproduce, modify, copy, adapt, deconstruct, reverse-engineer, sell or resell Our Services;

•Remove any copyright or other proprietary notations from Our Services; and

•Make Our Services available on any social media, file-sharing or application hosting service.

3. Accounts

To create an account with Us, you must provide accurate, complete and current information to us at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account on Our Services.

You are responsible for securing the password used to access Our Services and shall not disclose it to any third party. If you become aware of any breach of security or unauthorised use of your account, please contact Us immediately.

4. Content

By using Our Services, you grant RT a royalty-free, non-exclusive license to host, archive and use the content you upload, post, store, share and otherwise make available through Our Services. You are responsible for the safety, legality, reliability, and appropriateness or your own content.

You agree to provide all required and appropriate warnings and disclosures for your Content. RT is not responsible for the content or data you provide through your access of use of Our Services.

We reserve the right, at Our sole discretion, to remove, or refuse to remove, any Content deemed unsafe, illegal, inaccurate, inappropriate, or in violation of these Terms without prior notice.

5. Privacy Policy

You acknowledge that you have read Our Privacy Policy, accessible at https://rtfadvisors.com.my/policy/privacy and you agree for Our Privacy Policy to be incorporated into these Terms.

6. Intellectual Property

Our Services, (excluding content provided by you), Our website, located at https://rtfadvisors.com.my, Our distinctive logo and other identifying marks, are and shall remain the exclusive property of RT. Our trademarks and trade names are protected by copyright, trademark, and other intellectual property laws, both within Malaysia and internationally.

Any unauthorized use of these trademarks and trade names is strictly prohibited. They may not be used in connection with any product or service without Our prior written consent. All rights not expressly granted to you are reserved by Us.

7. Warranty Disclaimer

Your reliance, access and use of Our Services is entirely at your own risk. Our Services are provided on an “As Is” and “As Available” basis. RT, its sole proprietor, employees, suppliers and affiliates expressly disclaim warranties and duties of any kind whatsoever, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement of the rights of third parties or course of performance.

RT, its sole proprietor, employees, suppliers and affiliates do not represent and warrant that:

•Any advice or information obtained through Our Services shall not be considered as professional advice unless explicitly stated;

•Our Services will be secure, free from bugs, viruses, data theft or other harmful components;

•Our Services will be uninterrupted, or available at all times or locations;

•Our Services will fulfill all your requirements and expectation of the intended results; and

•Our Services will be free from errors or defects, including but not limited to technical inaccuracies and typographical errors;

8. Limitation of Liability

You acknowledge and agree that in no event shall RT, its sole proprietor, employees, suppliers, or affiliates, be held liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, losses such as business interruption, loss of revenue, profits or investment, loss of data, goodwill and other intangible losses, arising out of or in connection with:

•Your access to, use of, or inability to access or use Our Services;

•Your reliance on any content or information obtained from Our Services; and

•Unauthorized access, use or alteration of your transmissions or content from Our Services;

These limitations shall apply whether or not We have been informed of the possibility of such damages and regardless of whether any of the foregoing constitutes a fundamental breach or failure of essential purpose.

9. Termination

We reserve the right, at Our sole discretion, to terminate and suspend your account without prior notice or liability if you breach these Terms. Upon termination, your right to access and use Our Services will immediately cease. Any termination of these Terms shall not affect RT's rights to any payments due to RT.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of laws provisions.

Should any part of these Terms is held to be invalid or unenforceable by a court, that part shall be severed from these Terms. Such validity shall not affect the remaining provisions of these Terms, which shall remain in effect and binding on the parties. The parties hereby irrevocably agree to the exclusive jurisdiction of the courts of Malaysia.

11. Changes to Terms

We reserve the right, at Our sole discretion, to modify, add, replace or remove any part of these Terms at any time. We will notify you of any changes at least 14 days prior to the effective date of any new terms.

By continuing to access or use Our Services after the revisions, this shall constitute your acceptance to comply with and be bound by these revised Terms. If you do not agree to the revised Terms, you must stop accessing and using Our Services immediately.
